We aim to make the corporate management of JFC Group operate at the highest level of global standards.

The company has implemented a three level management, which includes:

• The General Meeting of Shareholders;
• The Board of Directors;
• The Management Board and General Director (President).

The General Meeting of Shareholders is the Group's highest management body. Its main responsibilities include choosing the Board of Directors, formation of the society's executive bodies and their immediate termination and approval of the Society's auditor.

The Board of Directors has overall charge of the Group: develops Group strategy, evaluates its efficiency in relation to the chosen strategy and solves questions concerning branch openings. The general shareholders' meeting determines the members and numbers of the Board of Directors.

Currently, the Board of Directors consists of 5 people, 2 of whom are company employees:

Yulia Zakharova Chairman of the Board of Directors Graduated from Leningrad Polytechnical University and the International Banking Institute. Has an MBA. Has worked for the company since 1994 in different management positions; Chief accountant, Finance Director, General Director (President).

Andrey Afanasyev General Director of ZAO JFC Group Member of the Board of Directors since June 2005 Graduated from Saint Petersburg State University of Economics and Finance and the Law Faculty of Saint Petersburg State University. Vice President of Non-State Pension Fund Alternativa, Vice President of the stock exchange Insurance Society. Joined JFC Group in 1997: Assistant Finance Director, Operations Director, General Director of the import company, Commercial Director.

Audit Committee

The Board of Directors has an Audit Committee for JFC holdings. The exclusive function of the Audit Committee is to evaluate applicants for JFC auditors, evaluate the audit report, evaluate the efficiency of the internal control systems of JFC Holding and make suggestions for improving them. The Audit Committee is headed by Tatyana Litvinova and its members are Vladimir Kekhman, Andrey Afanasyev and Victor Akatsevich.

The company's Executive Bodies

The operational management of the company lies with the General Director (President) and the company management. The General Director and management are confirmed by the General Shareholder's Meeting. At the moment the General Director (President) of JFC Group is Andrey Afanasyev. The management consists of 6 people, who are company employees.
